This Privacy Policy describes the terms by which Liquid Member Inc. and its affiliates (collectively, the “Liquid,” the “Company,” “we,” “us” or “our”) collect, use, maintain, protect and disclose your information, including your personal information, that is collected or provided through our websites (the “Websites”) and our mobile applications (the “Applications”) or elsewhere, and how we use such information in connection with the services we offer through the Websites and Applications or elsewhere (collectively the “Services”).

By using the Websites, the Applications or the Services, or otherwise providing us with your information, you agree to this Privacy Policy and you agree to be bound and abide by our Terms of Service found here.

INDIVIDUALS UNDER THE AGE OF 16

Our Websites, Applications, and Services are not intended for individuals under the age of 16. No one under the age of 16 may provide any personal information to or on our Websites, Applications or Services. We do not knowingly collect personal information from such individuals. If you are under the age of 16, do not use or provide any information on our Websites, Applications or Services. If we learn that we have collected or received personal information from an individual under the age of 16 without verification of parental consent, we will delete that information. INFORMATION WE COLLECT

We may collect the following categories of information directly from and about you in connection with your use of the Website, the Applications and the Services. These categories of information are described in more detail below. All of the information specified is referred to in this Privacy Policy as “Information.”

Registration Information: When you register for the Services directly with us, through the Plaid platform or through a third-party website or application, we will ask that you provide us with basic registration Information, such as an email address, password.

Identification Information: When you register for the Services we may also ask that you provide us with information confirming your identity including your first and last name, physical address, phone number, gender and date of birth.

Third-party Credentials: You may also provide us with credentials for third party payment services (“Third Party Sites”) when you authorize us to connect to those third-party payment services on your behalf.

Information from Third-Party Sites: When you agree to have us connect to any Third-Party Sites on your behalf, in order to provide you with the Services including any Liquid rewards, we will collect transaction level data from the Third Party Sites by means of the Services. For example, if you register your bank account or credit card account with us, we will collect the transaction details from your bank account or credit card account in order to personalize rewards and determine those transactions for which you are eligible to receive Liquid rewards.

Contests and Surveys: From time to time, we may offer you an opportunity to participate in a contest, survey, or other promotion. We may collect or you may submit Information in connection with the contest, survey or promotion, such as your first and last name, contact information and any other requested information.

Technical, Device and Navigational Information: We may collect information about your interaction with the Website, the Applications or the Services such as device-related information (including the unique identifier of the device, any device advertising identifier, operating system, application version, browser type and IP address) and server log information (including the date and time of day of your visit, the pages visited, the average time spent on the Website or the Applications, browsing activity and any site that referred you to us).

Location Information: If you choose to use a location-enabled aspect of the Services, we may collect location Information from your device. You may control or disable the sharing of location information through the settings on your device and/or through the Services.

Social Media or Third-Party Network Information: You may have the ability to log in to the Services through a social media or third-party network log-in account (a “Third Party Login). If you log in through such an account we will ask you to provide that site’s login credentials and we will ask that you grant us permission to access and collect your basic profile information from that site, which may include your name and email address. Any social media or third-party networking site controls the information it collects from you. For information about how they may use and disclose your Information, including any Information you make public, please consult their respective privacy policies. We have no control over how any social media or third party network site uses or discloses the personal Information it collects about you.

Career Information: You may provide Information when submitting your resume or applying for a specific position on our Website or Applications such as your educational background and career history.

Profile Information: If you choose to set a Username and/or Profile Picture, you may submit Information such as your full name or photographic likeness. This submission of Information is fully at your discretion and is not required to use the features of the Services.

Other Information: We may collect other Information as otherwise described to you at the point of collection or pursuant to your consent.

HOW WE USE THE INFORMATION WE COLLECT

We use and process your Information for purposes that may include, but are not limited to, the following:

  • providing you with the Website, Applications and Services;
  • providing you with information, products or services that you request from us;
  • creating and personalizing offers and rewards, and issuing the promised rewards based your spending with Liquid partners;
  • responding to your questions about our Websites, Applications, and Services;
  • providing and supporting in-app social functionality;
  • analyzing usage of the Website, Applications and Services;
  • advising you of any technical issues and communicating to you information regarding your use of the Services;
  • for marketing and advertising purposes, including sending you promotional material or special offers on our behalf or on behalf of our marketing and other partners and/or their respective affiliates and subsidiaries and other third parties, provided that you have not already opted-out of receiving such communications;
  • performing market research, project planning, product development, troubleshooting problems, and analysis of user behavior;
  • managing, improving and fostering relationships with third-party service providers, including vendors, suppliers, and parents, affiliates, subsidiaries, and business partners;
  • conducting anonymized user analytics and industry benchmarking;
  • complying with any applicable laws and regulations and responding to lawful requests;
  • for any other purposes disclosed to you at the time we collect your Information and/or pursuant to your consent;
  • pre-filling form fields on the Services for your convenience;
  • enforcing our Terms of Service and as otherwise set forth in this Privacy Policy;
  • a transaction in connection with a merger, sale, of substantially all of our assets, or a corporate reorganization

We may be required to verify your identity in order for you to use the Websites, Applications and Services. We may verify your identity if you contact us for assistance with the Website, Applications or Services. To verify your identity, we may, directly or through our service providers, use Information you provide and verify it against our service providers’ databases or through other sources.

When you use the mobile versions of our Website or the Applications, we may collect the unique device identifier assigned to that device by phone makers, carriers, or developers of the operating system (“Device Identifiers”). Device Identifiers enable developers, advertisers, and others to uniquely identify your device for purposes of storing application preferences and other data. We may use your Device Identifiers to contact you directly through push notifications and to monitor suspicious activity.

The Information we process may be transferred to, stored, and processed in, the United States or any other country in which Liquid or its affiliates, subsidiaries, or service providers maintain operations. By using and providing us with Information through the Website, the Applications and the Services, you expressly authorize and consent to the transfer, storage and processing of your information to any such country in order to provide the Website, the Applications and the Services. You are advised that Information, including personal data, that we collect may be transferred to, stored, and processed in a jurisdiction in which the privacy laws may not be as comprehensive as those in the country in which you are a citizen or in which you reside.

We endeavor to apply suitable safeguards to protect the privacy and security of your personal data and to use it in a manner that is consistent with your relationship with us and the practices described in this Privacy Policy. We also endeavor to apply the same safeguards when enter into data processing agreements with our vendors.

We use Service Providers that may process your personal data for open banking, infrastructure, analytics, marketing (such as Plaid and Amazon Web Service and Google Analytics). These third-party vendors collect, store, use, process and transfer information about your activity on our Service in accordance with their Privacy Policies and adhere to applicable data security standards (such as PCI-DSS, GLBA etc).

HOW WE SHARE OR SELL THE INFORMATION WE COLLECT

We may share or sell your Information with our subsidiaries and affiliates for the purposes of providing the Services.

Additionally, we may share or sell your Information with vendors, contractors, service providers and other third parties we use to support our business idea and/or to provide the Services. By using the Website, the Applications and the Services you grant our vendors, contractors and service providers, the right to access, transmit and process your Information as reasonably necessary to support us in our business and provide the Services. We may also use the services of vendors, contractors and service providers to assist us in analyzing certain online activities including but not limited to helping us measure the performance of our online promotions or analyze Services activity, and we may permit these service providers to use cookies and similar technologies to perform these services. You acknowledge and agree that to the extent we share your Information with these vendors, contractors and service providers your personal Information will be treated in accordance with the privacy policies of those organizations.

We may share or sell your Information with third parties to fulfill the purpose for which you provide it or process the transaction you have requested. As defined in the CCPA, “sell” and “sale” mean selling, renting, releasing, disclosing, disseminating, making available, transferring, or otherwise communicating orally, in writing, or by electronic or other means, a consumer’s personal information by the business to a third party for valuable consideration. This means that we may have received some kind of benefit in return for sharing personal information, but not necessarily a monetary benefit.

We and our vendors, contractors and service providers may also provide your Information (i) to comply with any court order, law or legal process, including to respond to any government or regulatory request, (ii) to enforce or apply our Terms of Service and other agreements including for billing and collection purposes, and (iii) if we believe that disclosure is necessary or appropriate to protect the rights, property or safety of Liquid, our customers or other third parties. This disclosure may include sharing Information with third parties for the purposes of fraud protection and credit risk reduction.

We may transfer any Information we have about you to a buyer or other successor in the event of a merger, divestiture, restructuring, reorganization, dissolution or other sale or transfer of some or all of the Company’s assets, whether as a going concern or as part of bankruptcy, liquidation or similar proceedings in which personal information held by the Company about our users is among the assets transferred.

We may license, share, sell or otherwise disclose aggregate, de-identified or anonymous information about users or users’ engagement with the Services with third parties for marketing, advertising, analytics, research or similar purposes. For example, we may provide participating merchants or third-parties with aggregated or anonymized information relating to users’ engagement with the Services to allow participating merchants and other third parties to assess the results of their offers and campaigns.

We take the security of your Information seriously. We have implemented technical, physical and administrative safeguards including but not limited, firewalls, encryption techniques and authentication procedures to maintain the security of your Information. However, no collection or transmission of information over the internet or other publicly accessible communications networks is entirely secure, and therefore, we do not warrant or guarantee the security of any such information. Any transmission of Information is at your own risk. We are not responsible for the circumvention of any privacy settings or security features. You agree that we will not have any liability for misuse, access, acquisition, deletion, or disclosure of your Information.

Your online access may be protected with a password you select. We strongly recommend that you do not disclose your password to anyone. We will never ask you for your password in any unsolicited communication (such as letters, phone calls or email messages).

YOUR CHOICES

You have the option of receiving periodic Website, Application, or Services-related alerts, weekly summaries, notifications, newsletters, promotions, or other information by email, text or other communications medium. You may choose to sign-up for or stop receiving alerts, summaries, newsletters and promotions by indicating your preference in your account profile or settings. You may also follow the unsubscribe instructions in the email, text or other communications medium you receive. Please note that certain Service-related messages that we send are necessary for the proper functioning and use of the Services and you may not have the ability to opt-out of those messages.

THIRD-PARTY OFFERS, ADVERTISEMENTS, AND DATA COLLECTION

We may deliver advertisements for third-party products and services on the Website, the Applications and through the Services. These offers may be complementary to your use of the Services and may be personalized based on Information you provide to us, Information we have collected about you, your transactions in your linked accounts, queries made through the Services, or other Information. If you choose to use these separate products and services, provide information to the third-party, or allow the third-party to otherwise collect Information about you, then their use of your Information is subject to the applicable third-party’s privacy policy and terms of service, not this Privacy Policy. HOW WE USE COOKIES AND SIMILAR TECHNOLOGIES

To help operate the Website, the Applications and Services, enhance your user experience, and collect information about online activity, we may place small data files on your computer or other device. These data files may be in the form of cookies, pixel tags, local shared objects, or other similar technologies. Cookies and similar technologies enable us to personalize the Website, the Applications and the Services for you. These technologies allow us to store and manage your preferences and settings, measure and analyze how you use the Website, the Applications and the Services, the effectiveness of our communications, offer targeted products, programs and services, and help us improve the Services and the security of the Services. Information collected includes internet protocol address, operating system, browser specifics of your device, device characteristics, user ID, and specifics regarding your interactions with the Website, the Applications and the Services.

Most browsers provide you with the ability to block, delete, or disable these technologies. If you choose to reject cookies or similar technologies, some Services may not be available or some functionality may be limited or unavailable. Please review your browser manufacturer’s help pages for assistance with changing your settings. Clear GIFs are tiny graphics with a unique identifier, similar in function to cookies. In contrast to cookies, which are stored on your device’s hard drive, clear GIFs are embedded invisibly on the Website or Application pages. We may use clear GIFs (a.k.a. web beacons, web bugs or pixel tags), in connection with the Website and the Applications to, among other things, track the activities of the Website visitors and the Application users, help us manage content, and compile statistics about usage of the Website and the Applications. We and our third-party service providers also use clear GIFs in HTML emails to our customers, to help us track email response rates, identify when our emails are viewed, and track whether our emails are forwarded.

We may use third parties such as network advertisers to serve advertisements on third-party websites, applications, or other communications media including social networking platforms. This enables us and these third parties to target advertisements to you for products and services in which you might be interested. Third party ad network providers, advertisers, sponsors and/or traffic measurement services may use cookies, JavaScript, web beacons (including clear GIFs), Flash LSOs and other tracking technologies to measure the effectiveness of their advertisements and to personalize advertising content to you. These third-party cookies and other technologies are governed by each third party’s specific privacy policy, not this Privacy Policy. We may provide these third-party advertisers with Information, including personal Information, about you.

Users in the United States may opt out of many third-party ad networks. For example, you may visit the Digital Advertising Alliance (“DAA”) Consumer Choice Page for information about opting out of interest based advertising and their choices regarding having information used by DAA companies. You may also visit the Network Advertising Initiative (“NAI”) Consumer Opt-Out Page for information about opting out of interest-based advertising and their choices regarding having Information used by NAI members.

Opting out from one or more companies listed on the DAA Consumer Choice Page or the NAI Consumer Opt Out Page will opt you out from those companies’ delivery of interest-based content or ads to you, but it does not mean you will no longer receive any advertising through the Website, the Applications or on other websites or applications. You may continue to receive advertisements, for example, based on the particular website that you are viewing (i.e., contextually based ads). Also, if your browsers are configured to reject cookies when you opt out on the DAA or NAI websites, your opt out may not be effective. ACCESSING AND UPDATING TO YOUR PERSONAL INFORMATION

If you have registered an account with us, you can access, update, and correct inaccuracies in your personal Information subject to certain exceptions, limitations and applicable laws by accessing your profile and account information on the Website or the Applications. To the extent state laws provide users with additional data subject rights, we will abide by those obligations following proper authentication and verification.

You may request access, updating and corrections of inaccuracies in other personal Information we have in our custody or control by emailing or writing to us at the contact information set out below. We may request certain personal Information for the purposes of verifying the identity of the individual seeking access to the personal Information records.

You may choose to close or request that we delete your account for the Services at any time.

By using the Website, the Applications and the Services you grant our vendors, contractors and service providers, including, but not limited to Plaid, the right to access, transmit and process your Information as reasonably necessary to provide the Services. We may also use the services of vendors, contractors and service providers to assist us in analyzing certain online activities including but not limited to helping us measure the performance of our online promotions or analyze Services activity and we may permit these service providers to use cookies and similar technologies to perform these services. You acknowledge and agree that to the extent we share your Information with these vendors, contractors and service providers your personal Information will be treated in accordance with the privacy policies of those organizations.

PRIVACY RIGHTS

You have the right to ask us one time each year if we have shared personal information with third parties for their direct marketing purposes during the preceding calendar year. If you are a minor under 18 and have a profile on www.liquidrewards.com, you may ask us to remove reviews or other content that you posted on the site by writing to privacy@liquidrewards.com. We will begin to process your request within 30 days. Please note that processing your request does not ensure complete or comprehensive removal of the content that you posted (if any).

You have the right to request information about how Liquid collects, processes, and shares your Personal Information. There may be situations where Liquid cannot grant a request, for example to complete a transaction to you or comply with law. These options do not apply to publicly available information from government records nor to de-identified or aggregated information.

You can also change your online tracking preferences by using the Cookie Preferences link located at the bottom of the liquidrewards.com homepage and updating your Privacy Settings in your Liquid App.

Upon submission of the request, you will be asked to provide your first name, last name, and email address. You will receive a verification email that will ask you to provide some additional information, such as an address, state, zip code and phone number. We will use the information provided to match the identifying information we have to verify your identity before processing the request.

Rewards

Liquid provides rewards and other loyalty benefits (“Rewards”) to Liquid members. Members may sign-up for the Liquid Rewards program if they have a credit card. To participate as a non-cardholder, you must provide an email (so we can send reward and program-related information), phone number (as the identifier used to track purchases that go toward reward points and to redeem rewards), and birth month and day (to redeem rewards). The purpose of the Rewards program is to encourage repeat business with Liquid creators and enhance your shopping experience.

The benefits provided to customers vary by customer depending upon the purchases made, whether items are bought in-store or online, which offers a customer uses, and many other factors. Liquid also incurs a variety of expenses related to Rewards. Those may include, for example, costs associated with discounts on purchases. The benefits are reasonably related to the value of the data you provide.

We will not discriminate against you for exercising your rights under CCPA. Rewards members also remain free to opt-out of email, phone, and text marketing at any time.

We also offer customers a discount promotion code for signing up for marketing emails. The promotion code is provided in a confirmation email. However, customers may opt out at any time thereafter and still retain the ability to use the promotion code. We provide this incentive because we want to be able to send offers by email. The cost of sending an email is nominal.

If you are a Nevada, Colorado, Virginia, or Utah resident, your state’s laws may provide you with additional rights regarding our use of your personal information.

DO NOT SELL MY DATA – RIGHTS

You have the right to stop the “sale” of your personal information through a mechanism called “Do Not Sell My Personal Information” button or hyperlink.

While there are many positive impacts of this requirement, the definition of “sale” also captures the transfer of data between corporate affiliates (that is, companies that share common ownership) and other transfers that ordinarily may not be thought of as a “sale” in the traditional sense of the word. At Liquid, we may share your personal information with our partners to provide you with the rewards, coupons and benefits that are a core mission of our App. Because the law has defined some of these transfers as “sales,” we are unable to offer all of our services to our Users that ask us not to “sell” their Personal Data.

You may utilize the “Do Not Sell My Personal Information” hyperlink located on our Services to facilitate their opt-out of the sale of certain personal Information. However, if you opt to request that we do not “sell” your personal Information you may not be able to use any service we offer that requires our continued use of your email address. Accordingly, if you direct us to stop “selling” your personal Information you may be asked to delete your account with Liquid and your associated personal Information. If you make this request you will still be able to access our website and explore our Services that are available to non-account holders.

Please note that we will attempt to verify your identity via the email address and/or telephone number associated with your request prior to fulfilling it. If you authorize another person to make this request on your behalf, in addition to verifying your identity we will also require proof that the person is authorized to act on your behalf.

Please note that the categories of personal Information and sources will not exceed what is contained in this Privacy Policy. Additionally, we are not required to retain any Information about you if it is only used for a one-time transaction and would not be maintained in the ordinary course of business. We are also not required to re-identify personal Information if it is not stored in that manner already, nor is it required to provide the personal Information to you more than twice in a twelve-month period.

You may request that we delete your personal Information. Your deletion request should be submitted through a data subject request below. Subject to certain exceptions set out below we will, on receipt of a verifiable data subject request, delete your personal Information from our records and direct any service providers to do the same.

Please note that we may not delete your personal Information if it is necessary to:

  • complete the transaction for which the personal Information was collected;
  • provide a good or service requested by you, or reasonably anticipated within the context of our ongoing business relationship with you, or otherwise perform a contract between you and us;
  • detect security incidents, protect against malicious, deceptive activity, and take all necessary and appropriate steps to mitigate current and future risk;
  • debug and repair internal information technology as necessary;
  • undertake internal research for technological development and demonstration;
  • exercise free speech, ensure the right of another consumer to exercise his or her right of free speech, or exercise another right provided for by law;
  • comply with the California Electronic Communications Privacy Act;
  • engage in public or peer-reviewed scientific, historical, or statistical research in the public interest that adheres to all other applicable ethics and privacy laws, when our deletion of the Information is likely to render impossible or seriously impair the achievement of such research, provided we have obtained your informed consent;
  • enable solely internal uses that are reasonably aligned with your expectations based on your relationship with us;
  • comply with an existing legal obligation; or
  • otherwise use your personal Information, internally, in a lawful manner that is compatible with the context in which you provided the Information.
  • We may not, and will not, treat you differently because you of your Data Subject Request activity. As a result of your Data Subject Request activity, we may not and will not deny goods or services to you, charge different rates for goods or services, provide a different level quality of goods or services, or suggest any of the preceding will occur. However, we can and may charge you a different rate, or provide a different level of quality, if the difference is reasonably related to the value provided by your personal Information.

In addition, if you are under the age of 18 and are a registered user, you may request us to remove content or Information posted on our websites or stored on our servers by (a) submitting a request in writing to insert email, and (b) clearly identifying the content or Information you wish to have removed and providing sufficient information to allow us to locate the content or Information to be removed. However, please note that we are not required to erase or otherwise eliminate content or Information if (i) other state or federal laws require us or a third party to maintain the content or Information; (ii) the content or Information was posted, stored, or republished by another user; (iii) the content or Information is anonymized so that the minor cannot be individually identified; (iv) the minor does not follow the instructions posted in this Policy on how to request removal of such content or Information; and (v) the minor has received compensation or other consideration for providing the content. Further, nothing in this provision shall be construed to limit the authority of a law enforcement agency to obtain such content or Information.
